These terms explain how to order services from Verdera agency and how we deliver them. They cover contract formation, pricing and payment, performance, cancellation and complaints.
Provider and scope
The provider is VERDERA, marketinške in digitalne storitve, Patricia Jarmek s.p., Rakuševa ulica 8, 1000 Ljubljana, Slovenia (referred to below as Verdera agency). These terms apply to business customers and consumers. An individual quotation defines the specific scope. Mandatory consumer rights cannot be excluded. Additional service terms apply to Verdera Marketing Suite.
Support for other services: info@verdera.agency. VMS: suite@verdera.agency. We respond within three working days (Monday–Friday, excluding Slovenian public holidays). This is a response deadline, not a resolution guarantee. Mandatory statutory deadlines remain applicable.
Services
Services include marketing advice, strategy, SEO incorporating GEO and AEO, advertising, content and email marketing, website development, UX/CRO, automation and AI solutions. Scope, deliverables, revisions and deadlines are set out in the description or quotation. Advertising budgets, licences and third-party services are included only when expressly stated.
Orders and contracts
Before ordering, customers can review and correct details and inspect the total price and charges. The final button clearly indicates an obligation to pay. An automated receipt acknowledgement does not itself constitute acceptance. The contract is formed upon Verdera agency's express acceptance. Consumers receive confirmation and required information on a durable medium, normally email.
Prices and taxes
Prices are in EUR. The total price, including applicable tax treatment, is displayed before payment. VAT treatment depends on the service, customer location and status, and applicable rules. Exemptions or reverse charge apply only when their conditions are met. Verdera agency has atypical VAT status with limited identification scope. It does not charge VAT on domestic supplies in Slovenia. Cross-border treatment depends on the specific transaction.
Payment
Payment uses the methods displayed at ordering, including Stripe and bank transfer where enabled. Include the order number with transfers. Payment deadlines are specified in the quotation, order or invoice. Transfer orders are not treated as paid before funds are received. Recurring charges apply only to clearly identified subscriptions.
Performance and cooperation
Start dates and deadlines are agreed at ordering. Customers must provide necessary materials, permissions and access promptly. Customer delays may proportionately extend deadlines with notice. Additional chargeable work requires prior agreement on scope and price. Starting consumer services during the withdrawal period is subject to the separate withdrawal rules.
Withdrawal and cancellation
Consumers generally have 14 days from conclusion to withdraw from distance service contracts. Details and exceptions appear in Withdrawal and complaints. Business cancellation is governed by the quotation and applicable law. Subscription cancellation differs from statutory withdrawal.
Complaints and liability
Send complaints to info@verdera.agency or the registered office, identifying the order, issue and requested remedy. Marketing outcomes also depend on external factors. Particular rankings, revenue or conversions are not guaranteed without express agreement. This does not limit professional performance obligations or statutory remedies for non-conformity or improper performance.
Rights and confidentiality
Copyright transfers and usage rights are defined in the quotation or contract. Third-party licences remain applicable. Both parties protect confidential information. Personal data processed on behalf of a customer is governed by a data processing agreement.
Law, disputes and versions
Slovenian law applies without depriving consumers of mandatory protection under the law applicable to them. Jurisdiction follows applicable rules. The version accepted at contract conclusion applies to that order. Verdera agency does not recognise any alternative consumer dispute resolution provider as competent to resolve its consumer disputes. Please first send complaints to info@verdera.agency. This provision does not restrict access to courts or other mandatory consumer rights.
